Acquisition Opportunity
Hilco is seeking offers to acquire the intellectual property assets of Mask Logic Limited (In Administration) (“Mask Logic” or the “Company”) on behalf of the Joint Administrators of the Company, David McGinness and Judith Howson of AAB Business & Tax Advisory LLP.
Background
Founded in 2021, Mask Logic developed specialist respiratory protection technology focused on the creation of personalised, reusable face masks. The Company was established to address longstanding challenges associated with conventional PPE products, particularly inconsistent facial fit, user discomfort, and the environmental impact of discarded single-use PPE products.
Supported by private investment and Scottish Enterprise funding, the Company developed a proprietary technology platform combining three-dimensional facial scanning, digital modelling, and additive manufacturing to produce individually fitted respiratory protection. From inception, the Company’s technology was designed to enable scalable personalisation, combining bespoke facial interfaces with standardised mask components to reduce manufacturing complexity and improve comfort.
At the core of the Company’s proposition is proprietary software capable of processing three-dimensional facial scans, extracting relevant measurements, and generating the design parameters required to manufacture personalised respirator components. Mask Logic’s technology enables individual facial geometries to be translated into customised product specifications, supporting a repeatable digital workflow from facial scanning through to manufacturing.
Mask Logic progressed its technology from initial research and prototype development through to a fully developed product, the IdealFIT 100, a reusable half-mask respirator incorporating a personalised nasal element. The Company’s product successfully progressed through relevant UK and European regulatory conformity assessments and was introduced to the market in November 2025. The Company also engaged with industry participants and prospective commercial partners, including organisations evaluating comparable personalised fitting and respiratory protection technologies.
This acquisition represents an opportunity to secure a developed portfolio of respiratory protection and facial scanning intellectual property, including the Company’s proprietary software, digital fitting technology and associated source code.
Available Assets
The Mask Logic Brand
Mask Logic established a specialist presence within the respiratory protection sector, with the brand closely associated with the development of its IdealFIT 100 respirator, designed to address the limitations of conventional standard-sized respiratory masks through individually fitted components and improved wearer comfort. The Company’s progress from initial research through to regulatory certification and early commercialisation positioned the brand as an emerging innovator in personalised respiratory protection.
Software
The Company developed a proprietary facial scanning and digital fitting platform designed to automate the creation of individually fitted respiratory protection products.
At the core of the platform is software capable of processing three-dimensional facial scans, reconstructing facial geometry, and extracting measurements required to design personalised respirator components. The Company’s technology translates individual facial characteristics into customised product specifications, supporting a repeatable workflow from facial scanning through to manufacturing.
Mask Logic’s platform combines facial measurement and geometric analysis with proprietary design methodologies to generate customised nasal interfaces and identify appropriate standardised mask configurations. The resulting manufacturing instructions support the production of personalised components using additive manufacturing techniques, reducing the need to manufacture an entirely bespoke respirator for each wearer.
The Company’s software and associated source code are held across two GitHub repositories, encompassing technology developed through several years of research, engineering and product development. The platform’s capabilities may also have applications across adjacent areas of personalised protective equipment, facial interfaces and other products requiring accurate adaptation to individual facial geometries.
Patents
The Company holds an internationally filed portfolio of patent applications relating to the design and manufacture of personalised respiratory masks, forming an important component of the intellectual property underpinning the Company’s IdealFIT technology. The Company’s key patent family incorporates a customised nose component designed to conform to an individual wearer’s facial geometry, together with a standardised mask body. The filings also address associated manufacturing methods, supporting the Company’s approach to combining individually fitted components with repeatable production processes, with applications filed in several jurisdictions, including the UK, the US, Europe, and China.
Full details on the Company’s patent applications are available via a virtual data room.
Registered Designs
The Company holds a portfolio of registered designs relating to the appearance and configuration of its personalised respiratory protection products. These designs complement the Company’s patent applications and protect visual aspects of the developed mask components, providing additional intellectual property rights associated with the IdealFIT 100 product.
Full details on the Company’s registered designs are available via a virtual data room.
Organisational Knowledge & Know-How
Mask Logic developed a substantial body of proprietary organisational knowledge, capturing its product development, digital fitting methodologies, manufacturing processes, and regulatory testing activities. The Company’s body of organisational knowledge provides a foundation for continued product development, manufacturing, and potential commercial deployment of the technology.
Domain Name & Website Content
The Company operated through its primary masklogic.co.uk domain name, which may be available to acquire.
The Company may also own copyright in the associated website content, presenting its personalised respiratory protection technology, IdealFIT 100 product, and digital facial scanning and fitting capabilities.
Client and Prospect Data
Through its product development and early commercialisation activities, the Company engaged with prospective customers, respiratory protection specialists, manufacturing partners, and organisations evaluating personalised respiratory equipment.
