Opportunity to Acquire an Established Independent Private School

Acquisition Opportunity

bk plus bring to market the opportunity to acquire a long-established independently run private school with a strong reputation for academic and sporting excellence. The school provides education for pupils from nursery age through to Sixth Form.

The school operates from leasehold premises located in the Midlands offering a range of educational, sporting, and recreational facilities. The school is also a registered charity and is governed by an experienced Board of Trustees. It employs approximately 80 highly skilled and dedicated teaching and support staff, whose expertise has contributed significantly to the school’s longstanding reputation.

Reasons for Sale

Like many independent schools, it has been adversely affected by the challenges currently facing the private education sector. A decline in pupil enrolment levels, rising employment costs, changes to the VAT treatment of school fees, and increasing operational overheads have collectively placed significant pressure on the school’s financial performance and profitability.

The Process

Please note that this is an accelerated opportunity which could result in a sale of the shares of the company, or alternatively its business, trade and assets. The opportunity could also be removed at any stage. Please register your interest as soon as possible. All interested parties will be required to sign a non-disclosure agreement (“NDA”) before being given access to additional information via a data room.

Phase 1
Due to the sensitive nature of this opportunity, and given that the covenants in the lease require the premises to be used for educational purposes, interested parties will be required to provide details of their OFSTED and ISA registrations, together with the proposed purchaser’s details. bk plus will then undertake various background checks to confirm eligibility before an NDA will be issued. The NDA must be executed by all individuals and entities who will require access to the confidential information.

Once the NDA has been completed, limited information will be provided to enable prospective purchasers to make an indicative offer, which must be submitted in writing and accompanied by proof of funding.

Indicative offer deadline: on/before midday 3 November 2026.
bk plus will review the indicative offers, and select a shortlist of interested parties that have met the above criteria to continue to phase 2.

Phase 2
At this second phase, more detailed information will be released into the data room and there will
also be an opportunity for the interested parties to meet with the school’s senior leadership team
and visit the school premises.

Final offer deadline: on/before 11 November 2026 with a view to a sale completing as soon as
reasonably practical thereafter.
