Hilco is pleased to offer for sale the business and/or assets of an established UK-based digital workplace mental health and employee wellbeing business (the “Company”).
The Company combines an established technology-enabled employee wellbeing platform with proprietary assessment and scoring methodologies, personalised digital support, human intervention and organisational reporting and analytics, enabling employees to assess and better understand their mental health and wellbeing, receive personalised results, resources and support, and track changes over time, while providing employers with aggregated insight into the wellbeing needs of their workforce. Having operated in the workplace wellbeing market for several years, the Company has developed a substantial technology, intellectual property, and data asset base. The platform has completed more than 5,000 workplace wellbeing assessments, with typical customer engagement of approximately 40 – 60%, including repeat assessments which provide longitudinal insight into changes in workplace mental health and wellbeing. The platform has been deployed across multiple workplace customers, including organisations with several thousand employees.
The opportunity therefore provides potential acquirers with a combination of an established workplace wellbeing SaaS platform, proprietary assessment and personalisation capability, organisational reporting and analytics, an accumulated wellbeing dataset, extensive digital content, and operational know-how. The proposition is differentiated by its ability to proactively identify potential areas of concern, create a personalised picture of an individual’s wellbeing and resilience, and connect users to relevant digital resources and near-immediate human support. For EAP, occupational health, digital health, and employee benefits providers, the platform therefore has the potential to operate as a complementary assessment, personalisation and engagement layer alongside existing services, helping identify and engage employees who might otherwise not seek support.

- Accumulated Wellbeing Data: A substantial body of structured workplace mental health and wellbeing data generated through several years of operation, incorporating assessment results, repeat assessments, underlying indicator scores, organisational segmentation, and engagement information.
- Organisational Reporting & Analytics: The Company’s platform provides employers with aggregated workforce wellbeing insight, including reporting across risk and resilience indicators, workforce cohorts, longitudinal trends and relevant benchmarking, subject to confidentiality controls.
- Extensive Wellbeing Content & Support Capability: A substantial library of wellbeing and psychoeducational content, downloadable tools, interactive experiences, and workshop materials, complemented by an established human responder support model.
- Modern, Scalable Technology Platform: Cloud-hosted SaaS architecture developed around modern technologies including Next.js, React, NestJS, Node.js, PostgreSQL and AWS, supporting employee-facing applications, assessment and personalisation, organisational reporting, and associated business logic.
- Independently Evaluated Outcomes: An independent NHS workplace pilot demonstrated strong employee engagement and positive outcomes, with 52% of eligible staff accessing assessment or support, 84% of surveyed users finding the service helpful and 85% of repeat-assessment users improving against one or more wellbeing indicators. The evaluation also identified encouraging evidence of potential reductions in mental health-related absence and improved employee retention.
- Established Workshop & Wellbeing Content Proposition: A substantial library of wellbeing and psychoeducational content, downloadable tools and interactive resources, together with an established programme of facilitated workplace interventions and workshops. Recent aggregated workshop feedback recorded an average overall session rating of 9.19/10 and an 8.98/10 average likelihood of participants using the information and resources shared.
- Integrated Human Responder Service: The digital journey is complemented by an established human support model, enabling appropriate users to move rapidly from assessment to confidential support from a trained Responder who can help interpret identified concerns, discuss appropriate next steps and connect the individual with relevant support.

- Proprietary Software Platform & Source Code: The Company’s cloud-hosted SaaS platform, including employee-facing and organisational applications, backend services, database implementation, reporting functionality, interactive content engine, infrastructure configuration, and associated source code.
- Assessment, Scoring & Personalisation IP: Rights in the Company’s assessment proposition, including relevant foundational assessment rights, software implementation, scoring and result classifications, prioritisation and triage methodologies, focus-area decision logic, personalisation mappings and associated know-how.
- Reporting & Analytics Capability: Proprietary reporting methodologies, data models, aggregation and filtering logic, confidentiality controls, longitudinal analysis, benchmarking approaches and associated organisational reporting functionality.
- Data Assets: Structured databases and datasets generated through operation of the platform, including more than 5,500 completed assessments and the associated data.
- Wellbeing Content, Workshops & Intervention Frameworks: Written, visual and multimedia wellbeing content, downloadable resources, interactive tools, workshop materials, facilitated intervention frameworks and associated delivery methodologies and know-how.
- Responder Service & Operational Know-How: Methodologies and know-how relating to proactive workplace wellbeing engagement, early identification and intervention, assessment interpretation, human Responder support, organisational reporting, signposting and the development of targeted workplace interventions.
- Brand & Goodwill: The goodwill and trading history attaching to an established workplace mental health and employee wellbeing business.
- Websites, Domains & Digital Assets: Domain names, website content, social media accounts, technical documentation, architecture and deployment materials and associated digital infrastructure.

Key Terms and Conditions
Hilco is acting as the exclusive agent for the Company in connection with the proposed sale of, investment in, or other transaction relating to, some or all of the Company’s business, shares, assets and/or intellectual property (the “Transaction”).
Any Transaction may be structured as a share sale, business sale, asset sale (portfolio or individual), investment, joint venture or other arrangement. The Transaction is made strictly on an “as is, where is” basis. Only such right, title, and interest (if any) as the Company may have will be transferred to a purchaser or investor. No warranties, guarantees, or representations (express or implied) are given by the Company or Hilco in respect of the business, assets, intellectual property, or any information provided. All parties must rely solely on their own inquiries, investigations, and due diligence. Any information supplied (including financial, commercial or technical information) is provided for convenience only and has not been independently verified.
All offers are subject to the addition of VAT at the prevailing rate, where applicable. A non-refundable deposit equal to 20% of the agreed purchase price must be paid by the successful purchaser within 48 hours of offer acceptance. Payment of the deposit grants the purchaser the exclusive right to proceed with the acquisition of the relevant assets for a limited period and on the terms agreed. A Buyer’s Premium of 10% of the final purchase price is payable by the successful purchaser in addition to the agreed purchase price, is non-negotiable and is payable at the same time and in the same manner as the purchase price and forms a condition of Transaction.
Legal completion timelines and transaction mechanics will be agreed as part of the definitive documentation.
