Engagement
The Great Atlantic & Pacific Tea Company, Inc. (the “Company”) retained Hilco Streambank as its exclusive broker for its intellectual property assets. The Company’s intellectual property assets consisted of the Food Emporium®, Pathmark®, A&P®, Waldbaum’s®, Food Basics® and Super Fresh® supermarket banners, as well as its America’s Choice®, Jane Parker® and Green Way® private label brands. In total, Hilco Streambank assisted the Company in the sale of 23 brand names during the course of its engagement.
Marketing
Hilco Streambank conducted a full audit of the Company’s intellectual property and produced an audit report establishing value ranges for all of its supermarket banners and private label brands. Hilco Streambank then developed a marketing program designed for the sale of the Company’s intellectual property assets. We reached out to over 300 potentially interested parties with a teaser detailing the opportunity, populated a virtual data room containing confidential materials regarding the assets available for sale and developed a confidential information memorandum. We assisted the Company in closing 13 separate sales of its intellectual property assets with several strategic buyers in the grocery and consumables industry.
Outcome
The sales of the Company’s intellectual property concluded in April 2018, resulting in a seven- figure overall recovery. Publicly disclosed transactions include Food Emporium®, which sold for $1.75 million and Pathmark®, which sold for $1 million.
