After an unsuccessful investment banking process, Hilco Streambank executed a targeted and expedited marketing plan, successfully identifying and assisting in the negotiation of a stalking horse purchase agreement prior to BH Cosmetics’ chapter 11 bankruptcy filing.
Launched in 2009 in Los Angeles, California, BH Cosmetics is a leader in clean, vegan, cruelty-free cosmetics, brush, and other beauty products, and is known for colorful and unique styles throughout the United States and Europe. The brand embodies diversity and inclusion, female empowerment, sustainability, and civic engagement.
The stalking horse, an affiliate of UK-based Revolution Beauty, closed the deal in February of 2022. We worked with both buyer and seller to ensure that the BH Cosmetics eCommerce site was properly managed throughout the sale process, enabling Revolution Beauty to maintain an uninterrupted online presence and consumer-facing brand continuity.
The final agreement established a comprehensive solution for transition services and the disposition of assets including internationally registered trademarks, domain names, a customer database, social media accounts with a global audience of more than 6.5 million followers, and inventory for a value of more than $3.9 million.
We also identified a valuable domain name, BHC.com, which we marketed for sale separately, producing additional value for the debtors.
